ARTICLE 1

Purpose

The purpose of this Agreement is to establish the general terms governing participation in the ETD Marketplace.

The Agreement promotes professionalism, transparency, marketplace integrity, and roadside safety while helping motorists locate replacement tires and related services.


ARTICLE 2

Independent Business Relationship

Marketplace Providers participate as independent businesses or independent individuals.

Participation in the Platform does not create:

  • Employment
  • Partnership
  • Joint Venture
  • Agency
  • Franchise
  • Exclusive Territory
  • Exclusive Representation

Providers remain fully responsible for operating their businesses.


ARTICLE 3

Provider Responsibilities

Providers agree to:

  • Maintain accurate listings.
  • Keep inventory information reasonably current.
  • Represent products and services honestly.
  • Respond professionally to customers.
  • Comply with applicable laws.
  • Maintain any licenses or permits required by law.
  • Carry insurance required by law for their operations.
  • Conduct business ethically.
  • Promote roadside safety.

ARTICLE 4

Marketplace Listings

Providers remain responsible for the accuracy of all information they publish, including:

  • Tire inventory
  • Tire sizes
  • Brands
  • Pricing
  • Photos
  • Availability
  • Service areas
  • Contact information
  • Business hours

Providers should promptly update listings whenever information changes.


ARTICLE 5

Marketplace Conduct

Providers agree to:

  • Treat customers respectfully.
  • Avoid deceptive advertising.
  • Honor advertised pricing whenever applicable.
  • Communicate honestly.
  • Avoid misleading claims.
  • Conduct business professionally.

Pricing Transparency and Honest Advertising

EmergencyTireDelivery.com (“ETD”) believes that honest pricing is fundamental to building trust between motorists, providers, and the ETD Marketplace.

Marketplace participants are expected to advertise products and services in a manner that allows customers to make informed purchasing decisions before committing to a purchase.

Pricing should be accurate, transparent, and presented in a way that minimizes misunderstandings during what are often stressful roadside emergencies.

Providers are expected to:

  • Display the actual selling price of advertised products whenever reasonably possible.
  • Clearly identify what is included in the advertised price.
  • Clearly disclose any known mandatory charges that apply to the transaction before the customer agrees to purchase.
  • Maintain reasonably current pricing information.
  • Honor advertised pricing except in cases of genuine pricing errors or clearly disclosed conditions beyond the provider’s control.

Prohibited Pricing Practices

To promote a fair and trustworthy marketplace, the following practices are prohibited:

  • Advertising FREE when payment is required.
  • Advertising $0.00 or $1.00 as a placeholder price when it does not represent the actual selling price.
  • Advertising intentionally misleading prices designed primarily to generate inquiries.
  • Using deceptive “starting at” pricing without clearly explaining what is included.
  • Advertising inventory that is unavailable for the purpose of attracting customers.
  • Failing to disclose known mandatory charges before the customer commits to the purchase.
  • False or Deceptive Prices.

Call for Price

Except where pricing cannot reasonably be determined in advance due to legitimate variables, providers should display the actual selling price of advertised products and services.

Listings that rely solely on phrases such as “Call for Price” or similar wording, without a legitimate reason, are inconsistent with ETD’s commitment to pricing transparency.

Whenever pricing depends on variables such as travel distance, after-hours service, specialty equipment, commercial vehicle requirements, or other factors, providers should clearly explain how pricing is determined and disclose those factors before the customer agrees to the purchase.


The ETD Pricing Principle

ETD believes customers should know, before making a purchasing decision, the price they can reasonably expect to pay for the advertised product or service.

Unexpected price increases, hidden mandatory fees, and misleading pricing practices undermine customer confidence and are inconsistent with the values of the ETD Marketplace.

Transparent pricing benefits motorists, providers, and the Marketplace by reducing misunderstandings, improving customer satisfaction, and strengthening long-term trust.


ARTICLE 6

Roadside Safety Commitment

ETD strongly encourages providers to adopt safe roadside operating practices.

Providers are encouraged to:

High-Visibility Apparel

Wear ANSI/ISEA-compliant high-visibility apparel or equivalent clothing appropriate for roadside work.


Warning Lighting

Where permitted by law, equip service vehicles with properly installed amber warning lights or strobe systems visible to approaching traffic from both the front and rear.


Vehicle Positioning

Whenever practical:

  • Position vehicles to maximize visibility.
  • Reduce exposure to moving traffic.
  • Utilize hazard warning flashers.
  • Deploy additional warning devices where appropriate and lawful.

Safety Equipment

Providers are encouraged to maintain appropriate roadside safety equipment, such as traffic cones, reflective triangles, flashlights, wheel chocks, fire extinguishers, first aid kits, and other equipment appropriate to their operations.


Safety First

Providers should never perform work that presents an unreasonable risk to themselves, motorists, passengers, or the public.

No service request is worth risking serious injury or loss of life.


ARTICLE 7

Customer Communications

Providers should:

  • Respond promptly whenever reasonably possible.
  • Clearly explain products and services.
  • Communicate estimated arrival times honestly.
  • Notify customers of delays when practical.
  • Conduct communications professionally.

ARTICLE 8

Marketplace Reputation

Providers contribute to the reputation of the ETD Marketplace.

Professional service, accurate information, respectful communication, and safe operating practices help strengthen confidence in the marketplace.


ARTICLE 9

Reviews and Feedback

Customers may provide reviews or feedback regarding their marketplace experiences in accordance with ETD’s Review Policy.

Providers are encouraged to respond professionally to customer concerns.

Attempting to manipulate reviews or ratings is prohibited.

Adding fake or false reviews to boost or hurt ratings is prohibited.


ARTICLE 10

Provider Independence

Providers determine:

  • Which services to offer.
  • Their operating hours.
  • Geographic service areas.
  • Pricing.
  • Inventory.
  • Scheduling.
  • Staffing.
  • Business operations.

ETD does not direct how providers conduct their day-to-day business.


ARTICLE 11

The ETD Participation Principle

Participation in the ETD Marketplace is a privilege, not an entitlement.

Every marketplace participant is expected to uphold the standards established by ETD, including professionalism, honesty, transparency, respect for customers, and a commitment to roadside safety.

Marketplace participants who repeatedly fail to meet these standards may have their participation suspended or terminated in accordance with ETD’s published policies.

ETD’s objective is to maintain a marketplace that motorists and providers can trust.

Suspension or Removal

ETD may suspend or remove marketplace participation when necessary to protect customers, providers, or marketplace integrity, or when participation is inconsistent with ETD policies or applicable agreements.

Where appropriate, ETD may provide an opportunity to address issues before taking permanent action.


ARTICLE 12

Changes

ETD may update this Agreement periodically to improve marketplace operations or reflect changes in applicable laws or business practices.

Continued participation after an updated version becomes effective constitutes acceptance of the revised Agreement.

The ETD Marketplace is built on cooperation between independent businesses dedicated to helping motorists during tire emergencies.

By participating in the ETD Marketplace, providers contribute to a professional, transparent, and safety-conscious ecosystem designed to improve access to replacement tires and related services.

The Provider Participation Agreement implements the principles established in the ETD Marketplace Charter (ETD-001) and the Marketplace Governance Manual (ETD-002).
